1. Agreement to Terms
These Terms and Conditions ("Terms", "Agreement") constitute a legally binding contract between Tech Vision Era ("we", "us", "our", or "the Company") — a full-service digital agency headquartered in Kuwait City, Kuwait — and you ("you", "Client", "the User"), being the person or legal entity that accesses our website, submits an enquiry, accepts a project proposal, or enters into a service engagement with us.
By browsing techvisionera.com, submitting a contact form, signing a proposal or statement of work, making a payment, or otherwise engaging our services, you confirm that:
- You have read, understood, and agree to be bound by these Terms;
- You have the legal authority to enter into this agreement on behalf of yourself or the organisation you represent;
- You are at least 18 years of age;
- All information you provide to us in connection with an engagement is accurate and complete.
These Terms apply in addition to any project-specific proposal, statement of work, retainer agreement, or service contract executed between the parties. In the event of a conflict, the project-specific document takes precedence over these general Terms for matters it explicitly addresses; these Terms govern all matters not otherwise addressed.
We reserve the right to update or modify these Terms at any time. Material changes will be communicated via our website and, where practicable, by direct notice. Continued engagement with our services after any such change constitutes your acceptance of the revised Terms.
2. Services Offered
Tech Vision Era provides the following services to clients in Kuwait, Saudi Arabia, the United Arab Emirates, Malaysia, and other markets on a project or retainer basis:
- Custom Web Application Development: Design and development of bespoke web applications, corporate websites, landing pages, web portals, and SaaS platforms using modern front-end and back-end technologies. Engagements include requirements discovery, UI/UX design, development, quality assurance, deployment, and documented handover.
- Mobile App Development: Native and cross-platform mobile application development for iOS and Android. Services include concept workshops, wireframing, UI design, development, App Store / Google Play submission support, and post-launch maintenance.
- E-Commerce Store Development: End-to-end build of online retail stores, including product catalogue setup, payment gateway integration, shipping logic, multilingual and multi-currency support, and integration with ERP or inventory management systems.
- Custom CRM System Development: Design and development of purpose-built Customer Relationship Management platforms tailored to the client's sales process, customer lifecycle, and reporting requirements.
- ERP System Development & Integration: Development of or integration with Enterprise Resource Planning systems encompassing procurement, inventory, finance, HR, and operations modules.
- Search Engine Optimisation (SEO): Technical SEO audits, keyword strategy, on-page optimisation, content strategy, link building, and ongoing performance reporting aimed at improving organic visibility in search engine results pages.
- AI Answer Engine Optimisation (AEO): A specialist service focused on optimising digital content, schema markup, entity authority, and knowledge graph presence to increase the probability of a brand or product being cited and recommended by AI-driven answer engines, including Google AI Overviews, ChatGPT, Perplexity, and similar large-language-model-powered interfaces.
- Digital Branding: Brand identity development encompassing logo design, visual identity systems, brand guidelines, typography, colour palettes, and creative direction for digital communications.
- Cloud Hosting & Domain Services: Managed server provisioning, domain registration and management, SSL certificate procurement, content delivery network (CDN) configuration, and ongoing server maintenance.
- Study in Malaysia — Education Placement: A dedicated education consulting vertical assisting Gulf-region students in identifying, applying to, and enrolling in accredited Malaysian universities and colleges. Services include institution shortlisting, application preparation, EMGS student visa documentation support, pre-departure orientation, and in-country support coordination.
The specific scope of services applicable to any engagement is defined in the signed proposal or statement of work. Services not described in that document are considered out of scope and are subject to a separate written agreement and additional fees.
3. Project Engagement & Scope
3.1 Discovery & Requirements
Most project engagements begin with a discovery phase in which we work with you to define business objectives, technical requirements, target audiences, and success metrics. Discovery outputs may include a brief, a functional specification document, wireframes, or a combination thereof. Where a discovery phase is billed separately, the associated fee is non-refundable regardless of whether a full project engagement subsequently proceeds.
3.2 Proposals & Statements of Work
Following discovery (or on the basis of a client-provided brief), we issue a written proposal or statement of work ("SOW") setting out: the scope of deliverables, project timeline, milestone schedule, payment terms, and any assumptions or exclusions. A proposal is valid for thirty (30) calendar days from the date of issue unless otherwise stated. Acceptance of a proposal by the client — whether by countersignature, written confirmation, or payment of a deposit — constitutes the formation of a binding project contract subject to these Terms.
3.3 Scope Changes & Change Orders
Any request by the client to add to, modify, or remove work from the agreed scope must be submitted in writing. We will evaluate the impact on timeline and cost and issue a written change order for your approval. Work on the change will not commence until the change order is signed or confirmed in writing by both parties. We are not obligated to absorb the cost of scope additions and reserve the right to adjust project timelines to accommodate approved change orders.
3.4 Project Communication
Unless otherwise agreed, the primary communication channels for project management are email and WhatsApp. The client must designate a single point of contact ("Project Owner") with authority to provide instructions, approvals, and feedback on behalf of the client organisation. Instructions provided by any person other than the designated Project Owner will not be acted upon without confirmation from the Project Owner, and Tech Vision Era is not liable for delays caused by unclear or conflicting instructions.
4. Payment Terms
4.1 Milestone-Based Payments
Project fees are typically structured as milestone-based payments, with specific amounts tied to the completion of defined deliverable stages. The standard milestone schedule is as follows, unless varied in the project proposal:
- Deposit (30–50%): Due upon acceptance of the proposal and before project commencement. No work will begin prior to receipt of the deposit.
- Mid-project milestone (25–40%): Due upon delivery and approval of design mockups, functional prototypes, or other intermediate deliverables as specified in the SOW.
- Final payment (balance): Due upon delivery of the final build, prior to live deployment, handover of credentials, or release of source code.
4.2 Currencies
Tech Vision Era invoices and accepts payment in the following currencies: Kuwaiti Dinar (KWD), Saudi Riyal (SAR), UAE Dirham (AED), Malaysian Ringgit (MYR), and US Dollar (USD). The applicable currency is stated in the proposal. For international bank transfers, clients are responsible for all intermediary and beneficiary bank charges, and payment is considered received only when the full invoiced amount arrives in our account, net of any deductions.
4.3 Invoice Payment Period
Invoices are payable within seven (7) calendar days of the invoice date, unless otherwise agreed in writing. For retainer engagements, invoices are issued at the beginning of each monthly cycle and are due within seven (7) days.
4.4 Late Payment
Invoices not settled within the payment period are subject to a late payment charge of 1.5% of the outstanding balance per month (or part thereof), accruing from the due date until payment is received in full. Tech Vision Era reserves the right to suspend all work, withhold deliverables, revoke access to assets and environments, and pause hosting services until all outstanding balances are cleared. We also reserve the right to recover reasonable legal and administrative costs incurred in pursuing overdue amounts.
4.5 Refunds
Deposits are non-refundable. Milestone payments made for work completed or substantially completed are non-refundable. Where a project is terminated by Tech Vision Era due to a breach by us, we will refund any advance payment attributable to work not yet commenced. Refunds are assessed on a case-by-case basis and any entitlement is subject to written agreement.
5. Intellectual Property
5.1 Client Ownership of Deliverables
Upon receipt of full and final payment for all invoices associated with a project, Tech Vision Era assigns to the client all intellectual property rights — including copyright — in the custom deliverables created specifically for that client, including source code, design files, written content, and graphic assets. This assignment covers all territories and is perpetual and irrevocable.
5.2 Pre-Existing IP & Third-Party Components
The above assignment does not include: (a) pre-existing intellectual property owned by Tech Vision Era (including our proprietary code libraries, frameworks, templates, and tools) that may be incorporated into your deliverable; (b) open-source software components incorporated under their respective licences (such as MIT, Apache 2.0, or GPL); or (c) third-party stock assets, fonts, or plugins procured under commercial licences. We will identify all such components and their applicable licences in the project documentation at handover.
5.3 Portfolio Rights
Unless you instruct us in writing prior to project completion, Tech Vision Era retains the right to display screenshots, descriptions, and the client's name or logo in our portfolio, case studies, pitch materials, and social media as an example of our work. We will not disclose confidential business logic, proprietary data, or financial information about your project in any portfolio representation.
5.4 Tech Vision Era Brand & Site Content
All content on techvisionera.com — including text, graphics, logos, and page layouts — is the exclusive intellectual property of Tech Vision Era and is protected by copyright law. You may not reproduce, distribute, or create derivative works from any Tech Vision Era content without our prior written consent.
6. Confidentiality
Both parties acknowledge that in the course of an engagement, they may receive or have access to confidential information belonging to the other party, including but not limited to: business plans, customer data, financial information, technical systems, trade secrets, pricing structures, and strategic roadmaps.
Each party agrees to: (a) hold the other party's confidential information in strict confidence; (b) not disclose such information to any third party without prior written consent, except to employees or sub-contractors who need it to deliver the project and who are bound by equivalent confidentiality obligations; and (c) use confidential information solely for the purposes of the project engagement.
Confidentiality obligations survive the termination of any project engagement for a period of three (3) years. They do not apply to information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was already known to the receiving party before disclosure; (iii) is independently developed by the receiving party; or (iv) is required to be disclosed by applicable law or valid legal process, provided the disclosing party gives prompt notice where legally permissible.
7. Warranties & Disclaimers
7.1 Our Warranties
Tech Vision Era warrants that: (a) services will be performed with reasonable care and skill by qualified professionals; (b) deliverables will substantially conform to the agreed specification at the time of delivery; and (c) to the best of our knowledge, custom deliverables will not infringe the intellectual property rights of any third party.
7.2 Post-Delivery Defect Rectification
We provide a defect rectification period of thirty (30) calendar days following final delivery ("Warranty Period"). During this period, we will rectify at no additional charge any defects that represent a failure to meet the agreed specification. The Warranty Period does not cover issues arising from: (a) client-made modifications; (b) changes to third-party platforms or APIs outside our control; (c) new feature requests; or (d) matters outside the agreed scope.
7.3 Disclaimer of Implied Warranties
Except as expressly stated above, all services are provided "as is" and "as available". To the fullest extent permitted by applicable law, Tech Vision Era excludes all implied warranties and conditions, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our website will be available at all times or free from errors, viruses, or other harmful components.
8. Limitation of Liability
8.1 Cap on Liability
To the maximum extent permitted by applicable law, Tech Vision Era's total aggregate liability to the client — whether in contract, tort (including negligence), misrepresentation, or otherwise — arising from or in connection with any project engagement shall not exceed the total fees actually paid by the client to Tech Vision Era for the specific project or service giving rise to the claim in the twelve (12) months immediately preceding the event that gave rise to the claim.
8.2 Exclusion of Consequential Loss
In no event shall Tech Vision Era be liable for: loss of profits, loss of revenue, loss of business, loss of anticipated savings, loss of goodwill, loss of data, indirect loss, special loss, punitive damages, or any other consequential or incidental loss, regardless of whether such loss was foreseeable or Tech Vision Era had been advised of the possibility of such loss.
8.3 Third-Party Platforms
Tech Vision Era is not liable for disruptions, outages, policy changes, or failures attributable to third-party services, platforms, or infrastructure that are outside our direct control, including (without limitation) cloud hosting providers, domain registrars, payment processors, social media platforms, search engines, or AI platforms.
8.4 Force Majeure
Tech Vision Era is not liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond our reasonable control, including acts of God, war, terrorism, civil unrest, governmental action, pandemics, labour disputes, internet service disruptions, or failures of third-party infrastructure. In such circumstances, we will notify you promptly and use commercially reasonable efforts to mitigate the impact.
9. Client Responsibilities
A successful project engagement requires active collaboration and timely input from the client. You agree to the following responsibilities:
9.1 Timely Feedback & Approvals
You will provide written feedback, approvals, and decisions within the timeframes agreed in the project schedule. If no timeframe is specified, a response is expected within five (5) working days of a review request. Delays caused by late feedback will extend the project timeline accordingly and may incur additional charges. Silence for more than ten (10) working days following a formal review request will be treated as approval of the submitted deliverable.
9.2 Accurate & Complete Project Brief
You are responsible for providing a complete, accurate, and unambiguous project brief. Tech Vision Era builds to the specification agreed; we are not liable for outcomes that differ from unstated expectations. If your requirements change, you must notify us promptly and follow the change order process described in Section 3.3.
9.3 Access & Credentials
Where our work requires access to existing systems — including web hosting, domain registrars, social media accounts, third-party APIs, or analytics platforms — you must provide the necessary credentials or access in a timely manner. Tech Vision Era will handle all provided credentials with strict confidentiality and will request only the minimum level of access required. We recommend revoking our access and resetting credentials following project handover.
9.4 Legal Compliance of Content
You are solely responsible for ensuring that all content, images, data, trademarks, and other materials you provide to Tech Vision Era for incorporation into deliverables comply with applicable laws, do not infringe third-party intellectual property rights, and do not constitute defamatory, offensive, or unlawful material. You will indemnify Tech Vision Era against any claims, losses, or costs arising from a breach of this obligation.
9.5 Back-up of Data
We implement reasonable hosting and backup practices, but you acknowledge that you remain responsible for maintaining independent back-ups of your business data and digital assets. Tech Vision Era is not liable for data loss that occurs outside of our direct negligence.
10. SEO & AEO Results Disclaimer
Tech Vision Era provides professional Search Engine Optimisation (SEO) and AI Answer Engine Optimisation (AEO) services based on current best practices, algorithmic research, and accumulated expertise. However, the following limitations are inherent to the nature of these services and are explicitly acknowledged by the client:
10.1 No Ranking Guarantee
We do not guarantee, and it would be misleading to promise, specific rankings on any search engine (including Google, Bing, Yandex, or DuckDuckGo) or specific citation frequencies by any AI answer engine (including Google AI Overviews, ChatGPT, Perplexity, Gemini, Copilot, or other LLM-powered interfaces). Search and AI ranking systems are operated and algorithmically updated by independent third parties. Any agency or individual who guarantees a specific ranking position is making a representation that is not within their power to fulfil.
10.2 Algorithm Changes
Major search engines and AI platforms issue algorithmic updates, core updates, and policy changes regularly and without notice. A position or citation rate achieved at one point may change as a result of such updates. We will adapt our strategy in response to significant algorithmic changes and communicate material impacts to you, but we are not liable for ranking fluctuations caused by third-party algorithm changes.
10.3 Timeline Expectations
SEO results are cumulative and typically require a minimum of three to six months of consistent effort before meaningful organic traffic improvements are measurable. AEO citation building for newly authoritative entities may take longer. Clients should plan their commercial projections accordingly and not rely solely on SEO/AEO for immediate revenue generation.
10.4 Our Commitment
Notwithstanding the above, Tech Vision Era commits to: applying technically sound and ethically compliant ("white-hat") SEO and AEO practices in full conformity with search engine and AI platform guidelines; providing transparent monthly reporting on key performance indicators including organic traffic, keyword positions, and (where measurable) AI citation events; and continuously optimising strategy based on data-driven insights.
11. Study in Malaysia — Education Placement Terms
The Study in Malaysia vertical operates as a distinct education consulting service within Tech Vision Era. The following specific terms apply to students and families engaging this service:
11.1 Nature of Service
Tech Vision Era acts as an education placement consultant and facilitator. We do not operate as an institution, do not issue academic credentials, and do not have authority over admissions decisions made by Malaysian universities or colleges. Our role is to advise, prepare applications, and liaise with institutions and government bodies on your behalf.
11.2 EMGS Disclaimer
Student visa applications for Malaysia are processed by Education Malaysia Global Services (EMGS), a body operating under the authority of the Malaysian Ministry of Higher Education. EMGS processing times, fees, approval decisions, and requirements are subject to change without notice and are entirely outside Tech Vision Era's control. We will advise on current requirements and timelines to the best of our knowledge, but we do not guarantee visa approval or a specific processing timeline. Visa application fees paid to EMGS are non-refundable regardless of outcome.
11.3 Institution Placement
We will present you with a shortlist of accredited Malaysian institutions that match your academic profile, budget, and preferences. Final selection and enrolment decisions rest with the student and family. Tech Vision Era does not accept responsibility for the academic outcomes, quality of instruction, or institutional policies of any university or college we recommend.
11.4 Separate Engagement
Fees for Study in Malaysia services are invoiced separately from any technology development or digital marketing engagement. The two service lines are independent and the terms applicable to one do not modify the terms applicable to the other.
11.5 Documentation Accuracy
The student and family are solely responsible for the accuracy and authenticity of all academic and personal documents submitted as part of the application. Submission of falsified, forged, or misleading documents constitutes grounds for immediate termination of the placement engagement with no refund, and may have serious immigration and legal consequences for the student.
12. Termination
12.1 Termination for Convenience
Either party may terminate a project engagement for convenience by providing fourteen (14) calendar days' written notice to the other party. Upon termination, the client is liable for payment of all completed or substantially completed milestones up to the effective termination date, plus any irrecoverable third-party costs (such as software licences, stock assets, or hosting fees) incurred on the client's behalf. Tech Vision Era will deliver all completed work product and project assets to the client upon receipt of all outstanding payments.
12.2 Termination for Cause
Either party may terminate a project engagement immediately, by written notice, if the other party: (a) commits a material breach of these Terms that is not capable of remedy; (b) commits a material breach that is capable of remedy but fails to remedy it within fourteen (14) calendar days of receiving written notice of the breach; (c) becomes insolvent, enters administration, or is wound up; or (d) engages in unlawful conduct or conduct that is materially harmful to the other party's reputation.
12.3 Effect of Termination
Termination does not affect any accrued rights or liabilities of either party as of the date of termination. Sections dealing with intellectual property, confidentiality, limitation of liability, governing law, and any other provision that is expressed or by its nature intended to survive termination shall remain in full force after termination.
12.4 Website Access & Hosting
Where Tech Vision Era provides ongoing hosting services under a retainer and those services are terminated, we will maintain the client's website or application in its current state for a transition period of thirty (30) calendar days following the effective termination date, during which the client may arrange migration to an alternative hosting provider. After this period, we reserve the right to take the environment offline.
13. Governing Law & Dispute Resolution
13.1 Governing Law
These Terms and any project engagement governed by them shall be interpreted and enforced in accordance with the laws of the State of Kuwait, including (without limitation) the Kuwaiti Commercial Companies Law, the Law of Commerce, and Law No. 20 of 2014 Concerning Electronic Transactions, without regard to conflict-of-law principles that would require application of the laws of any other jurisdiction.
13.2 Jurisdiction
The parties irrevocably submit to the exclusive jurisdiction of the competent courts of Kuwait City, Kuwait, for the resolution of any dispute arising from or in connection with these Terms or any project engagement, subject to the mediation provision below.
13.3 Mediation
Before either party initiates formal legal proceedings, both parties agree to attempt in good faith to resolve any dispute through direct negotiation. If direct negotiation fails to produce a resolution within thirty (30) calendar days of written notice of a dispute, either party may refer the matter to a mutually agreed mediator. The costs of mediation shall be shared equally unless otherwise agreed.
13.4 International Clients
For clients based in Saudi Arabia, UAE, or Malaysia, the governing law remains Kuwait law. However, we acknowledge local consumer protection and commercial regulations that are mandatory in those jurisdictions and will not seek to contract out of non-excludable local rights. Saudi clients with disputes related to data protection may also engage the relevant mechanisms under the Saudi PDPL.
